Franchise disclosure in Germany: a controlled information process, not just a PDF.

What is different in Germany?Germany has no dedicated franchise disclosure statute with a single prescribed disclosure form.

Pre-contractual duties are nevertheless important. International franchisors should therefore create a controlled process for system information, commercial statements, economic figures, questions, updates and receipt documentation.

The process

Five elements of a robust Germany disclosure process.

The document is only one part. Risk often emerges at the interfaces between franchise sales, financial examples, the agreement and system reality.

Controlled information pack

System history, franchise model, fees, services, investments, territory logic and other decision-relevant information should be presented in a structured version.

Economic statements

Revenue examples, investment assumptions and profitability scenarios need clear sources, assumptions and limitations. Estimates should be identifiable as estimates.

Franchise-sales rules

Sales teams need controlled language and materials so that candidates do not receive promises that differ from the information pack or final agreement.

Version & receipt control

The franchisor should be able to establish which version a candidate received, when it was provided and how subsequent updates were handled.

Agreement consistency

Fees, services, investments, territory, support and partner obligations should not change meaning when the candidate moves from disclosure to the agreement.

Questions & updates

Candidate questions, clarifications and material changes should be handled as part of the process rather than outside it in uncontrolled chats or calls.

International systems

Why foreign disclosure packs should not simply be reused.

A foreign FDD, information memorandum or sales brochure may be useful source material, but it may not describe the German operating reality.
